Terms of Use

Visitors and registered users of myape.gr are kindly requested to carefully read the following Terms of Use.

These Terms of Use govern the rights and obligations relating to the use of the website located at www.myape.gr, hereinafter referred to as myape.gr.” myape.gr was designed, developed and is owned by MyAPE P.C., which shall hereinafter, for the sake of brevity, be referred to as the “Company.”

Intended Purpose and Operation of the Website

myape.gr is an online platform aiming to create a valid and reliable cooperation network between natural and legal persons (buyers and sellers), with the ultimate purpose of facilitating valid agreements for the transfer of Renewable Energy Sources (RES) projects, including photovoltaic parks, wind projects and RES licenses.

The platform operates exclusively as a means of information, connection and communication facilitation between users. Any agreements between users of the website (buyers and sellers) are concluded directly between them. myape.gr shall not be considered a contracting party to any agreement or transaction between users.

The foregoing expressly excludes any case where a user has made a prior and explicit request for the provision of additional support services by the website’s specialised legal and advisory team (see below).

Binding Effect

Acceptance of these Terms of Use shall be deemed to occur upon entering and browsing myape.gr by the visitor/user.

Such acceptance constitutes the user’s express, unconditional and irrevocable agreement to comply with these Terms.

If a user or visitor disagrees with any of these Terms, they must discontinue and refrain from browsing myape.gr and may, if they so wish, notify the administrator accordingly.

myape.gr reserves the right to amend these Terms of Use at any time and without justification. Amendments shall be taken into account only insofar as they are made in writing and incorporated into this document.

Users are therefore advised to periodically review these Terms.

Users will be informed of material amendments through a relevant notice on the website and/or by email.

In the event that any individual provision is held invalid in whole or in part or becomes unenforceable, this shall not affect the validity of the remaining provisions.

Any gap created in the agreement between the website and the user/visitor as a result of an invalid provision shall be supplemented by new or amended provisions which, to the extent possible, reflect the legal purpose of the invalid provision.

The foregoing shall also apply in any case to matters not expressly regulated in these Terms of Use.

Limitation of Liability, Availability of Services and Force Majeure

Under no circumstances shall myape.gr or the Company be held liable for any damage and/or any other negative consequence that may arise from access to the website and/or use of the information and services provided through it.

All content and services of the website are provided “as is.”

Under no circumstances does the Company provide any guarantee regarding the accuracy, completeness or availability of the website’s content, pages or services.

The Company does not guarantee that the pages, services, options and content will be provided without interruption or errors, nor does it guarantee any specific level of availability.

The operation of the platform may be temporarily interrupted for maintenance, upgrades or technical reasons, without prior notice and without any liability for compensation toward users.

No guarantee is provided as to the accuracy, completeness or availability of content.

No guarantee is given that the website or the servers through which it is made available are free from viruses or other harmful components.

The cost of repairing any resulting damage shall be borne exclusively by the visitor/user.

The Company shall be released from any liability for partial or total inability to fulfil its obligations or for the unavailability of the platform where such inability or unavailability results from force majeure events beyond its reasonable control.

Such events include indicatively and without limitation cyberattacks, malicious software, malfunctions, failures or interruptions of third-party providers, widespread telecommunications or power outages, governmental restrictions, strikes, natural disasters or armed conflicts.

Exclusion of Investment, Legal, Brokerage, Tax and Other Advice

All information and content presented on myape.gr are provided solely for informational purposes.

Under no circumstances may any such information be interpreted as investment, legal, brokerage or tax advice.

The Company and the website administrators do not provide advisory services and bear no liability for any damage arising from any act or omission based, in whole or in part, on information provided through the website.

Users expressly acknowledge that they are required to carry out their own legal, technical, financial, tax and investment review before entering into any agreement.

myape.gr collaborates with third parties, both individuals and legal entities, at all stages of collecting, processing and distributing its content.

For this reason, the Company is not in a position to provide any express, implied or circumstantial guarantee as to the accuracy, security, suitability or quality of such information.

Within the context of the free circulation of information on the internet, users and visitors bear responsibility for independently verifying all information provided and are encouraged to submit observations or corrections to the website administrator.

User Responsibility

By accepting these Terms, the user/visitor acknowledges and accepts the international nature of the internet and undertakes to comply with rules of ethical online conduct (Netiquette).

Where myape.gr gives a visitor or registered user the ability to publish or send by personal message or by any other means to another user or member any information, audiovisual material, text, link to another website or, generally, any file readable or executable by a computer or other electronic device, sole responsibility for such content lies with the user who submitted or published it.

It is expressly reminded that, for every publication or transmission, the user must have the lawful right to transmit such content either under applicable law or under any valid contractual relationship.

In all cases, the following content is prohibited:

• unlawful, abusive, vulgar, pornographic, threatening, defamatory, harassing content, content harmful to minors, or content expressing ethnic, racial or other discrimination;

• content infringing copyright or other proprietary rights of third parties, including trademarks, trade secrets and patents;

• content containing viruses, harmful software or code (malware), unsolicited advertising material (pop-ups) or spam capable of causing temporary or permanent damage or malfunction to hardware or software or causing delays, interference or interruptions to servers or telecommunications networks;

• false statements regarding the identity of the user or impersonation of any natural or legal person.

By submitting material to myape.gr, you grant the Company a perpetual, non-exclusive, irrevocable and royalty-free licence to reproduce, adapt, distribute and publicly display part or all of such material on the website or on affiliated websites.

You agree that you shall receive no compensation for content submitted to myape.gr unless otherwise agreed in writing.

Users must not use the website for acts that may result in criminal prosecution or in the initiation of civil or administrative proceedings against the Company, including indicatively and not exhaustively acts under criminal law, personal data protection law, telecommunications law, relevant European Union law, regulations of competent authorities or any acts that may infringe any right or lawful interest of the Company or of a third party.

Where any third party initiates legal proceedings against the Company in relation to conduct falling under the user’s responsibility under these Terms, the Company reserves the right to seek recourse against that user.

In addition to any claims by third parties, the Company reserves the right to claim compensation for breach of these Terms and for any legal consequences arising therefrom.

In all cases, by accessing and using the website, you agree that the exclusions and limitations of liability contained herein are fair and proportionate.

You acknowledge that the website reserves the right to amend and/or temporarily or permanently discontinue part or all of its services with or without prior notice where serious cause exists.

Accordingly, users acknowledge that no right to compensation exists against myape.gr or its administrators.

Finally, myape.gr reserves the right to remove, disable or restrict access to submitted content without notice where it reasonably and in good faith considers that such content violates these Terms or the law.

One-off Payment for Unlocking a Listing

Users may browse the website free of charge. In addition, they may register on myape.gr as sellers, buyers or brokers without charge.

Registered users acting as buyers may, if they wish, unlock additional information relating to a specific listing, as well as the ability to contact the seller of that listing, by making a one-off payment.

Each one-off payment is paid once only, is of indefinite duration and relates exclusively to the specific listing for which it was made.

Payment methods and all related information are presented in detail before completion of the transaction.

If you require any information or clarification, please contact us before completing your subscription or payment.

Each account created is strictly personal and approved for one and only one natural or legal person, in accordance with the details submitted.

Users bear sole and exclusive responsibility for the accuracy and truthfulness of the details they submit and are required to ensure that such details are correct and kept up to date.

Registered users must keep their username and password confidential.

In the event of unauthorised use, users must immediately notify the administrators of myape.gr.

For security reasons, profile deletion cannot be completed directly by users and may only be performed by the administrators.

Within the framework of transaction security and fraud prevention, the Company reserves the right, at its sole discretion, to request identification documents from any user at any time.

In particular, for users publishing listings, the Company reserves the right to require official documentation proving lawful ownership of the project and/or of the property on which the project has been installed and/or the relevant renewable energy licence and/or lawful authorisation to market or dispose of it.

The Company shall be entitled to suspend or permanently delete user accounts or listings where a user refuses or delays in providing requested identification or ownership documentation.

Listings

myape.gr provides users with the ability to post and search listings relating to Renewable Energy Sources (RES) projects.

Listings are submitted by interested users and are then reviewed by the administrators of myape.gr for possible violations of these Terms of Use.

Approval or rejection of any listing shall remain at the sole discretion of the website administrators.

The administrators reserve the right to amend, supplement, remove or otherwise edit the information included in listings.

By submitting a listing to myape.gr, you declare and warrant that all information used is accurate and truthful and that you have the lawful right to use and publish it, including photographs, project details, technical specifications and financial data.

By submitting a listing, you acknowledge and accept that you bear sole responsibility for its content, and all provisions of these Terms relating to user responsibility shall apply in full.

Under no circumstances does myape.gr guarantee the accuracy or validity of any information contained in listings, nor shall such information be interpreted as encouragement or recommendation to proceed with any act, including the execution of a sale and purchase agreement or any similar transaction.

By using myape.gr listing services, you acknowledge the right of the website administrators to suspend access to content submitted by you where they reasonably believe that it violates these Terms and, where deemed necessary, to prohibit the user from posting listings in the future.

In addition, you acknowledge and accept the absolute discretion of myape.gr to display your listings together with all relevant information anywhere on the website and/or on its social media pages whenever considered appropriate and effective depending on the nature of the listing.

Communication Between Users

The platform provides users with the ability to communicate between buyers and sellers through an internal messaging system or by sending offers.

Users acknowledge and accept that myape.gr may apply automated technical security filters and/or review the content of messages exchanged through the platform solely for reasons of security, prevention of electronic fraud, ensuring compliance with these Terms, including prevention of circumvention of the platform, and protection of the Company’s rights.

The content of communications is treated as confidential and shall not be disclosed to third parties unless disclosure is required by competent authorities under applicable law.

All information exchanged between users or made available through the platform relating to Renewable Energy Sources projects, including location, technical specifications, grid connection terms, financial information, prices, yields, business plans and uploaded documents such as licences or opinions, shall be considered strictly confidential.

Users undertake:

(a) to preserve the confidentiality of such information;

(b) not to disclose such information to any third party without the prior written consent of the rights holder or of the Company; and

(c) to use such information exclusively for the purpose of evaluating the relevant potential transaction through myape.gr.

This obligation shall remain in force even after deletion of the user’s account.

Non-Circumvention of myape.gr and Financial Terms

Any user of myape.gr who becomes aware of or is introduced to a Renewable Energy Sources project or related licence through the services of myape.gr expressly undertakes not to circumvent the Company for the purpose of entering into a direct agreement with another user of myape.gr in order to avoid the lawful fees or commissions of the Company.

Where circumvention of the platform is established in relation to a project or licence presented on the platform, the Company shall be entitled, without prior notice, to seek judicially and/or extrajudicially the full amount of any lost fee or commission together with compensation for any direct or consequential loss.

For every successful transaction or binding agreement for transfer or assignment completed through the mediation of the platform or through the listing of the relevant project on myape.gr, users shall be obliged to pay the following commission:

Ready / Operational (Electrified) RES Parks: 0.75% of the Transaction Value payable by the buyer and 0.75% of the Transaction Value payable by the seller. For transactions involving parks with a Transaction Value below €100,000, a minimum fee of €750 per side shall apply (i.e. €1,500 in total per transaction).

RES Project Licences: 1.5% of the Transaction Value payable by the buyer and 1.5% of the Transaction Value payable by the seller.

Important Note: For the calculation of the Company’s commission, “Transaction Value” shall not be understood exclusively as the sale price stated in the final private agreement or transfer contract, but as the actual, fair and commercial value of the transaction, as derived from the latest published price of the project or licence on the myape.gr platform during the last thirty (30) days prior to completion of the transaction.

Where such price is not available or does not reflect actual market conditions, Transaction Value shall be determined by reference to the current market value of comparable Renewable Energy Sources projects.

This provision is intended to prevent artificial or intentional undervaluation.

The Company reserves the right to determine and calculate its commission based on either the latest published price of the project or licence on the myape.gr marketplace or the prevailing market/commercial value if the final declared sale price is considered unusually or artificially low.

The Company reserves the right to amend commission percentages and any other charges at any time, at its sole discretion and without obligation to provide prior individual notice to users.

Any revised charges shall apply immediately to both existing and newly registered users, to existing and new listings, and to transactions completed after the date on which the relevant amendment enters into force.

Additional Advisory Support Services

myape provides users with the option of receiving additional support services from a specialised legal team for the management and completion of agreements.

Such services are optional and are provided only following the user’s express choice and relevant request.

In such case, myape.gr may assume a more active role in the process and reserves the right to receive additional remuneration for the provision of such services.

Payments for myape.gr Services

When proceeding with a transaction with the Company in connection with operation of the website, payment may be made either by transfer to one of the Company’s bank accounts or through a secure payment platform (Stripe).

The website does not store your card details.

If your card transaction is declined for any reason, you must contact the financial institution that issued your card.

The lawful invoice or receipt for each transaction shall be issued based on the details you have submitted, for the accuracy and validity of which you bear sole responsibility.

Following completion of the transaction, the relevant document shall be sent to the email address you have provided.

Intellectual and Industrial Property Rights

By accepting these Terms, you acknowledge and agree that all content available on myape.gr, including documents, texts, trademarks, designs, images, services, electronic files and any other material, constitutes intellectual property of the Company from the moment of publication online, subject always to any rights of third parties.

Accordingly, such content is protected under applicable Greek and European law and under relevant international conventions.

The domain name www.myape.gr is lawfully registered with the Hellenic Telecommunications and Post Commission (EETT) and is protected under the relevant provisions of Greek and European law.

As regards intellectual and industrial property rights belonging to third parties, including affiliated websites, users or companies, responsibility for their protection rests exclusively with their respective rights holders.

It is expressly prohibited to use, copy, store, reproduce, republish, transmit, publish, download, translate or modify, in whole or in part, any content or services available on myape.gr without the prior written consent of the Company.

Users, visitors and any third party are strictly prohibited from using any automated system, software or means, including but not limited to bots, crawlers, scraping tools, harvesting tools or scripts, or any similar methodology, for the purpose of accessing, obtaining, copying, monitoring, systematically extracting or storing any content, data or information from the platform.

It is strictly prohibited to use any content, listing data, technical specifications or documents available on the platform for the training, improvement or development of artificial intelligence models, machine learning systems, large language models or for the creation of any dataset whatsoever.

It is also prohibited to republish, commercially exploit or resell any platform data or to attempt to bypass, overload, alter, misuse or reverse engineer the platform’s application programming interfaces.

If the administrators of the website become aware that any user, whether registered or not, is proceeding with systematic extraction, manually or automatically, of all or a substantial part of the database, the administrators may disable such user’s account without notice and reserve the right to exercise any other lawful remedy available to them.

Exceptionally, individual storage and copying of parts of the content onto a personal computer is permitted strictly for personal use only.

A necessary condition is that there is no intention of commercial exploitation and that the source is clearly acknowledged.

Under no circumstances shall such use be interpreted as any indication that the Company intends to grant broader rights.

A portion of the images used on myape.gr originates from magnific.com and is used under a specific licence, without prejudice in any way to the moral rights of photographers.

Accordingly, republication of such images is expressly prohibited.

Photographs are also used from databases operating under Creative Commons licences, including for example pexels.com and Wikimedia.org, in accordance with the respective terms of those websites.

Links to Third-Party Websites

Through links made available on myape.gr, users may access third-party websites.

The placement of such links is made solely for the convenience of visitors while browsing online.

Under no circumstances shall the presence of a link constitute acceptance, approval or endorsement of the content of any linked website.

Each link directs users to a separate website, and browsing such website shall be subject to that website’s own terms of use.

myape.gr and/or the Company bear no responsibility whatsoever for the content or personal data processing policy of any third-party website accessed through such links.

Access to any website through provided links takes place entirely at the user’s own responsibility.

Applicable Law and Final Provisions

These Terms of Use, including any amendments thereto, shall be governed by and interpreted in accordance with Greek law and applicable European Union law, as well as relevant international treaties where required.

The courts of Athens, Greece shall have exclusive jurisdiction.

myape.gr and the Company consistently seek to ensure that any disputes arising out of use of the platform and/or interpretation and application of these Terms are resolved amicably and out of court whenever possible.

For this reason, if as a user or visitor you identify any content or information on the website that may be problematic from a legal and/or ethical perspective, you are kindly requested to notify the website administrator immediately at info@myape.gr.

These Terms of Use are drafted in both the Greek and English languages.

Both versions shall be considered equally valid and binding.

However, in the event of any inconsistency, contradiction, ambiguity or difference in interpretation between the Greek and English versions, the Greek version shall prevail in all cases.

myape.gr, through its designers and administrators, makes every reasonable effort toward the continuous development, updating and improvement of the services provided and of the website in general.

All necessary organisational and security measures are implemented, and the most appropriate technical protection mechanisms are applied, with the aim of providing users with an environment that is as secure as reasonably possible and in compliance with applicable legal requirements.

Nevertheless, errors, malfunctions or interruptions in website content may always occur, and viruses or other harmful software (malware) may appear either on the website itself or on the server through which it is made available.
