NON-COMPETITION, CONFIDENTIALITY AND NON-CIRCUMVENTION AGREEMENT
NON-COMPETITION OBLIGATION
By accepting the present Agreement, the user/visitor of the website myape.gr expressly acknowledges and agrees that throughout the duration of their cooperation with MyAPE P.C. and for a period of eighteen (18) months following the termination or cessation thereof, they shall be obliged as follows:
Not to participate, directly or indirectly, whether as shareholder, partner, employee, consultant or collaborator, in any business operating in competition with the Company;
Not to independently approach or solicit the Company’s clients, suppliers or other business partners for their own benefit or on behalf of any third party without prior notice to the Company;
Not to engage in any conduct capable of negatively affecting the Company’s business interests, reputation or client base;
Not to circumvent the myape.gr platform for the purpose of attempting to enter into a direct agreement in order to avoid the lawful fees or commissions of the Company;
Not to attempt or proceed with direct transactions with other users of the myape.gr platform with the purpose of avoiding payment of the Company’s lawful commission;
Not to use third parties and/or affiliates for the purpose of circumventing the platform and avoiding payment of the lawful fees or commissions of the Company.
The above non-compete obligation shall remain in force even after termination of the cooperation between the user and the Company for the period expressly stated above.
GEOGRAPHICAL SCOPE
The present non-compete obligation shall apply throughout the territory of the Hellenic Republic (Greece).
CONFIDENTIALITY – NON-DISCLOSURE
By accepting this Agreement, the user/visitor of myape.gr acknowledges that, in the course of their cooperation with MyAPE P.C. and in connection with the general use of the website, they may obtain access to confidential information, including indicatively:
business plans;
financial data;
commercial policy;
client databases and customer lists;
technical and commercial know-how;
growth and development strategies;
internal procedures and information systems;
personal data and information of other clients or partners of the Company;
proprietary software;
legal texts, legal opinions, contractual documentation and related information concerning the operation of the Company and/or transactions carried out through myape.gr.
The user/visitor hereby expressly agrees and accepts that they are under an obligation of strict confidentiality with respect to any information, whether confidential or otherwise as described above, that comes to their knowledge in connection with use of the services of myape.gr or arising therefrom and relating to the Company, its partners, or any third-party natural or legal person lawfully represented, whose information is maintained or processed by the Company and/or the lawful administrators of myape.gr for any reason in connection with their professional activity.
In particular, the user/visitor:
Is prohibited from announcing, assigning, disclosing or in any way communicating to any third party any confidential or non-confidential information or personal data that became known to them through use of the services of myape.gr or through their cooperation with the Company, including information relating to the Company itself, the website myape.gr, its partners or its clients;
Is prohibited from using any confidential or non-confidential information and any professional methods or techniques of the Company for their own benefit or for the benefit of third-party natural or legal persons;
Undertakes to avoid any conflict between their own interests or those of third parties and the interests of the Company and to immediately report to the Company or to the designated lawful administrators of myape.gr any such incident or potential incident that comes to their attention;
Is prohibited from maintaining personal files or disclosing to any third party any files, documents, records, materials, software or other items obtained in the context of cooperation with the Company which contain personal data, unless prior written authorisation has been granted by the Company.
This confidentiality obligation shall remain in force even after termination of the cooperation between the user/visitor and the Company for a period of twenty-four (24) months.
NON-CIRCUMVENTION OF myape.gr & FINANCIAL TERMS
Any user of myape.gr who comes into contact with or obtains knowledge of a Renewable Energy Sources (RES) project or related licence through the services of myape.gr expressly undertakes not to circumvent the Company in order to conclude a direct agreement with another user of myape.gr for the purpose of avoiding the lawful fees or commissions of the Company.
In the event that circumvention of the platform is established in relation to any project or licence displayed on the platform, the Company shall be entitled, without prior notice, to claim judicially and/or extrajudicially the full amount of any lost remuneration or commission, together with compensation for any direct or indirect loss or damage.
For every successful transaction or binding transfer/assignment agreement completed through the mediation of the platform or through the listing of the relevant project on myape.gr, users of the platform shall be obliged to pay commission as follows:
• Ready / Operational (Electrified) RES Parks: 0.75% of the Transaction Value payable by the buyer plus 0.75% of the Transaction Value payable by the seller. For transactions involving parks with a Transaction Value below €100,000, a minimum fee of €750 per side shall apply (i.e. €1,500 in total per transaction).
• RES Project Licences: 1.5% of the Transaction Value payable by the buyer plus 1.5% of the Transaction Value payable by the seller.
Important Note: For the purpose of calculating the Company’s commission, “Transaction Value” shall not mean exclusively the sale price stated in the final private agreement or transfer contract, but the actual, fair and commercial value of the transaction, as derived from the latest published price of the project or licence on the myape.gr platform during the last thirty (30) days prior to completion of the transaction or, where such price is unavailable or does not reflect actual market conditions, from the current commercial value of comparable RES projects.
This provision is intended to prevent artificial or intentional undervaluation.
The Company reserves the right to determine and calculate its commission based either on the latest published marketplace price of the project/licence on myape.gr or on the current market/commercial value where the declared final sale price is considered unusually or artificially low.
The Company reserves the right to amend commission percentages and any other charges at any time, at its sole discretion and without prior individual notice to users.
Any revised charges shall apply immediately to existing and newly registered users, to existing and new listings and to transactions completed after the date such amendment enters into force.
CONTRACTUAL PENALTY
In the event that the user/visitor of myape.gr breaches any of the above obligations, it is expressly agreed that, in addition to the commission otherwise payable to the Company in relation to the transaction, the user shall pay to the Company, as a contractual penalty, an amount equal to ten per cent (10%) of the Transaction Value, as defined above in the present Agreement, for each breach that comes to the knowledge of the Company, whether directly or through any third party (including clients, partners or otherwise).
In parallel, the Company shall be entitled to use all lawful means available for restoration of its damages and shall be entitled to seek compensation proportionate to the damage proven to have been suffered as a result of such breach.
ACKNOWLEDGEMENT – DURATION
The user/visitor of myape.gr hereby acknowledges and accepts that the restrictions set out above are fair, reasonable and necessary for the protection of personal data processed by the Company and for the safeguarding of its lawful interests.
If any provision of this Agreement is subsequently found invalid or unenforceable, such finding shall not affect the remaining provisions, which shall remain in full force and effect.
Failure or delay by either party to exercise any right arising under this Agreement shall not under any circumstances be construed as waiver of such right or claim.
This Agreement shall enter into force from the date of acceptance and shall remain effective throughout the entire duration of the user’s/visitor’s cooperation with the Company.
ACCEPTANCE OF AGREEMENT
Acceptance of this Agreement through checkbox / click acceptance shall constitute valid and binding acceptance of the present Agreement without the need for any additional handwritten or physical signature.
For additional confirmation of acceptance, the platform may request that the user/visitor complete their full name in a designated field before completing acceptance.
Any incomplete, inaccurate or incorrect completion of such field shall not affect the validity or binding nature of acceptance, provided that the acceptance process has been completed through checkbox/click acceptance and through use of the user’s account on the platform.
The Company may maintain electronic records of acceptance, including IP address, timestamps and account/email logs, as evidence of acceptance of this Agreement by the user throughout the duration of the cooperation and for a period of eighteen (18) months following its termination.
